Additional Inclusions and Exclusions
Texas Provisions:
Governing Law; Jurisdiction and Venue; Severability. This Contract will be governed by and construed under the laws of Texas without regard to conflicts of laws principles that would require the application of any other law. Any action or proceeding arising out of or relating to this Agreement may be brought in the courts of the State of Texas, in the County which includes the Project site; or, if there is a basis for jurisdiction, such actions may be brought in the United States District Court for the District which includes the Project site. If any indemnity obligation or other provision of this Contract, as applied to any party or to any circumstance, is adjudged by a court of competent jurisdiction to be void or unenforceable for any reason, the invalidity of that provision shall in no way affect (to the maximum extent permissible by Texas law) the application of such provision or the application of any other provision of this Contract, or the enforceability or invalidity of this Contract as a whole. If any provision of this Contract becomes or is deemed invalid, illegal, or unenforceable in any jurisdiction by reason of the scope, extent, or duration of its coverage, then such provision shall be deemed amended to the extent necessary to conform to applicable law so as to be valid and enforceable or, if such provision cannot be so amended without materially altering the intention of the parties, then such provision will be stricken and the remainder of this Contract shall continue in full force and effect.
Limited Warranty Period:
Limited Warranty Period. The applicable Warranty Period of the Limited Warranty for purposes of this Contract is [Insert]. The Limited Warranty is subject to all of the requirements, exclusions, conditions, and limitations specified in the Terms and Conditions.
